84-2a-302. Title to and possession of goods. Except as otherwise provided in this article, each provision of this article applies whether the lessor or a third party has title to the goods, and whether the lessor, the lessee, or a third party has possession of the goods, notwithstanding any statute or rule of law that possession or the absence of possession is fraudulent.

This section, based on section 84-9-202, states that the provisions of this Article apply regardless of whether the lessor or a third party has title to the goods and regardless of whether the lessor, the lessee, or a third party has possession of the goods. It reflects the broad policy that the rights of the parties under Article 2A should not depend "upon esoteric concepts such as title or inappropriate notions of ostensible ownership." William D. Hawkland & Frederick H. Miller, 3A Uniform Commercial Code Series § 2A-302:01, at 400 (1993). This section also provides that the separation of ownership and possession under a lease does not of itself constitute fraud, for purposes of fraudulent conveyance statutes.
